1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and SYRINEXUS Technologies Private Limited ("Company", "we", "us", or "our"), concerning your access to and use of our website, FinTech solutions, Core Banking platforms, and IT consulting services (collectively, the "Services"). By accessing the Services, you agree that you have read, understood, and agreed to be bound by all of these Terms of Service.

2. Intellectual Property Rights

Unless otherwise indicated, the Services and all source code, databases, functionality, software, website designs, AI models, algorithms, architecture frameworks, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

As stipulated in our corporate governance, all Intellectual Property developed by any founder, employee, or contractor remains the exclusive property of SYRINEXUS Technologies Private Limited.

3. User Representations

By using the Services, you represent and warrant that:

  • You have the legal capacity and you agree to comply with these Terms of Service.
  • You are not a minor in the jurisdiction in which you reside.
  • You will not access the Services through automated or non-human means without proper authorization via our API channels.
  • You will not use the Services for any illegal or unauthorized purpose, particularly concerning financial fraud or regulatory violations.

4. Confidentiality

You agree to maintain the strict confidentiality of any banking credentials, client data, CBS configurations, and system architecture details provided by us. Any breach of confidentiality shall result in immediate termination of services, legal action, and claims for damages as per applicable laws in the State of Maharashtra, India.

5. Service Level Agreements (SLA) & Uptime

We strive to provide a 99.9% uptime guarantee for our managed IT and cloud-hosted solutions. However, we will not be liable for any interruptions caused by factors outside of our reasonable control, including hardware failures at your premises, third-party ISP outages, or force majeure events.

6. Limitation of Liability

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Services, even if we have been advised of the possibility of such damages.

7. Governing Law & Dispute Resolution

These Terms shall be governed by and defined following the laws of India. SYRINEXUS Technologies Private Limited and yourself irrevocably consent that the courts of Maharashtra, India shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms. Any unresolved disputes shall be subject to Arbitration under the Indian Arbitration Act.
